| Yes. If now or in the future Party-2 will provide Maintenance Services for any hardware Deliverables, then ownership, title to, and risk of loss for spare parts Deliverables, which Party-2 may install in the hardware Deliverables, passes to Party-1 upon installation, Party-2 agrees to pass through or assign to Party-1 any third party warranty and any other rights, rebates, discounts or benefits which Party-2 receives in connection with any spare parts Deliverables, and Party-2 agrees to deliver with the spare parts Deliverables two (2) copies of the documentation and other materials that Party-2 ordinarily provides to purchasers of the spare parts Deliverables. For Malfunctioning spare parts that Party-2 removes for purposes of performing the Maintenance Services, ownership, title to, and risk of loss for these Malfunctioning spare parts passes to Party-2 upon removal. |
